PLEASE READ THESE TERMS OF USE (\u201cTERMS OF USE<\/b>\u201d) IN FULL. THIS IS A LEGALLY BINDING CONTRACT BETWEEN YOU (\u201cYOU<\/b>\u201d OR \u201cUSER\u201d) AND HANITA LENSES LTD. (\u201cHANITA\u201d) AND GOVERNS ALL ASPECTS OF USER\u2019S ACCESS TO AND USE OF HANITA\u2019S CALCULATUR AND ANY OTHER APPLICATIONS RELATED THEREOF (THE \u201cAPPLICATION<\/b>\u201d). BY CLICKING \u201cACCEPT\u201d AT THE BOTTOM OF THIS AGREEMENT, YOU AGREE TO ALL TERMS AND CONDITIONS SET FORTH BELOW.<\/p>

  1. General<\/b><\/li><\/ol>

    The Application is provided to physicians for educational and convenience purposes only, in conjunction with the labeling for Hanita\u2019s products. Hanita does not engage in the practice of medicine, and this Application is not a substitute for appropriate medical education and training or for the exercise of independent medical judgment. Hanita cannot warrant the accuracy or completeness of information provided by the Application. Each medical situation should be considered unique to each patient, and all treatments individualized accordingly. Hanita does not endorse or recommend any particular technique beyond what is contained in the product labeling, and other techniques may be appropriate in a physician\u2019s medical judgment.<\/p>

    Any medical procedure has associated complications and risks, and the practice of medicine and standard of care may change over time. Hanita cannot warrant that the information generated by the Application will be error-free, and is not responsible for any deletion or inaccuracy. Hanita expressly disclaims all liability to any person in respect of all matters and all actions taken or not taken based on any information contained herein. Physicians are advised to consult the product labeling, and any appropriate research literature before implementing any new treatments or techniques.<\/p>

    1. License and restrictions on use.<\/b><\/li><\/ol>

      You are hereby granted with a revocable, nontransferable and non sublicenseable license to access the Application and to use it for the limited purpose of performing calculations to help determine the recommended Hanita toric intraocular lens and its suggested axis placement. You may not reproduce or modify the Application without the written consent of Hanita. You agree to use your best efforts to prevent unauthorized use, distribution or publication of the Application.<\/p>

      It is hereby clarified that you do not acquire any ownership right, title or interest in the Application or the content it generates, or in any applicable patents, trademarks, copyrights, trade secrets and other intellectual property rights which may be embodied or contained therein.<\/p>

      1. Proprietary Rights and Licenses<\/b>.<\/li><\/ol>

        Hanita retains all right, title and interest in and to the Application and any derivatives thereof, including any Intellectual Property Rights contained and\/or made available therein or in connection thereto (collectively, the \u201cIP<\/b>\u201c). As used herein, \u201cIntellectual Property Rights<\/b>\u201d means inventions and patents of any type, design rights, utility models or other similar invention rights, copyrights, trademarks, Application marks, trade names, trade dress, logos, trade secret or confidentiality rights, and any other intangible property rights including applications for any of the foregoing, in any country, arising under statutory or common law or by contract and whether or not perfected, now existing or hereafter filed, issued, or acquired.<\/p>

        All use of the IP shall inure to the benefit of Hanita and its licensors, and you shall not reverse engineer, copy, decompile, or disassemble the Application.<\/p>

        Any rights to the Application not expressly granted herein are reserved.<\/p>

        1. Disclaimer.<\/b><\/li><\/ol>

          THE APPLICATION IS PROVIDED ON AN \u201cAS IS\u201d AND \u201cAS AVAILABLE\u201d BASIS. HANITA DOES NOT GUARANTEE THAT THE APPLICATION OR ANY CONTENT PROVIDED VIA THE APPLICATION WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE APPLICATION AND\/OR CONTENT WILL PROVIDE SPECIFIC RESULTS OR BE SECURE. ALL INFORMATION PROVIDED ON THE APPLICATION AND CONTENT IS SUBJECT TO CHANGE WITHOUT NOTICE. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, HANITA DISCLAIMS ALL WARRANTIES, OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, COMPLETENESS, AVAILABILITY, SECURITY OR COMPATIBILITY. HANITA DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE APPLICATION AND\/OR THE CONTENT GENERATED BY THE APPLICATION. YOU ASSUME THE TOTAL RESPONSIBILITY FOR YOUR USE OF THE APPLICATION. YOUR SOLE REMEDY AGAINST HANITA FOR ANY REASON WHATSOEVER WITH RESPECT TO THE APPLICATION AND\/OR CONTENT IS TO STOP USING THE APPLICATION OR ANY SUCH CONTENT.<\/p>

          The above disclaimer applies to any and all damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.<\/p>

          1. Limitation of Liability.<\/b><\/li><\/ol>

            EXCEPT WHERE PROHIBITED BY LAW, HANITA WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE, SPECIAL OR OTHER SIMILAR DAMAGES AND ANY LOSS OF PROFITS, LOSS OF REVENUES, LOSS OF SAVINGS, LOSS OF GOODWILL, LOSS OF USE OR LOSS OR CORRUPTION OF DATA, WHETHER UNDER TORT, CONTRACT OR OTHER THEORIES OF RECOVERY, EVEN IF WE WERE OR SHOULD HAVE BEEN AWARE OR ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND IN NO EVENT WILL HANITA\u2019S LIABILITY ARISING OUT OF THE USE OR THE INABILITY TO USE THE APPLICATION, OR ANY OTHER MATTER RELATING TO THE APPLICATION. IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS, HANITA IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF APPLICATION, HANITA\u2019S LIABILITY SHALL IN NO EVENT EXCEED US$500.00. THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION AND ELSEWHERE IN THESE TERMS OF USE APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.<\/p>

            1. Indemnification.<\/b><\/li><\/ol>

              You agree to defend, indemnify and hold harmless Hanita, and its respective officers, directors, employees and agents, licensors, licensees, distributors, agents, representatives and other authorized users, and each of Hanita\u2019s respective affiliates, distributors and suppliers (collectively, the \u201cIndemnified Parties<\/b>\u201c) from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including but not limited to attorney\u2019s fees) incurred by the Indemnified Parties in connection with or arising from: (i) your use of the Application and\/or the content thereof; (ii) your violation of these Terms of Use and\/or any additional terms; or (iii) your violation of any third party right, including without limitation any copyright, property, publicity or privacy right. You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to employ separate counsel and assume the exclusive defense and control of any matter otherwise subject to indemnification by you.<\/p>

              1. Termination<\/b>.<\/li><\/ol>

                We may limit, suspend or terminate your account and\/or your ability to access the Application or any content provided on or through the Application, in our sole discretion, immediately and\/or limit, suspend or terminate any future access, with or without cause for your failure to fully comply with these Terms of Use and\/or any applicable additional terms. You agree that we shall not be liable to you or any third-party for any limitation, suspension or termination of your access to or use of the Application or any such content. You also agree that any violation by you of these Terms of Use will cause irreparable harm to Hanita, for which monetary damages would be inadequate, and you consent to Hanita\u2019s seeking any injunctive or equitable relief that we deem necessary or appropriate in such circumstances. These remedies are in addition to any other remedies we may have at law or in equity.<\/p>

                1. General<\/b>.<\/li><\/ol>

                  You agree that any action at law or in equity arising out of or relating to these Terms of Use, and the relationship between you and us shall be governed by and construed in accordance with the substantive laws of the State of Israel without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tel Aviv and waive any jurisdictional, venue, or inconvenient forum objections to such courts. These Terms of Use, together with any additional terms applicable to your use of the Application shall constitute the entire agreement between You and Hanita in connection with or in relation to the Application. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and a party\u2019s failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. All provisions of these Terms of Use relating to Hanita\u2019s proprietary rights, disclaimers, and limits of liability or duty, confidentiality, nondisclosure, shall survive expiration or the termination of these Term of Use for any reason.<\/p>

(\u201cHANITA\u201d) Y RIGE TODOS LOS ASPECTOS DEL ACCESO Y USO DEL USUARIO DE HANITA’S CALCULATUR Y CUALQUIER OTRA APLICACI\u00d3N RELACIONADA CON ELLA (LA \u201cAPLICACI\u00d3N\u201d). AL HACER CLIC EN \u201cACEPTAR\u201d EN LA PARTE INFERIOR DE ESTE ACUERDO, USTED ACEPTA TODOS LOS T\u00c9RMINOS Y CONDICIONES QUE SE ESTABLECEN A CONTINUACI\u00d3N.<\/p>

                    General<\/b><\/p>

                    La aplicaci\u00f3n se proporciona a los m\u00e9dicos \u00fanicamente con fines educativos y de conveniencia, junto con el etiquetado de los productos de Hanita. Hanita no se dedica a la pr\u00e1ctica de la medicina y esta Aplicaci\u00f3n no sustituye la educaci\u00f3n y capacitaci\u00f3n m\u00e9dica apropiada ni el ejercicio del criterio m\u00e9dico independiente. Hanita no puede garantizar la exactitud o integridad de la informaci\u00f3n que ofrece la Aplicaci\u00f3n. Cada situaci\u00f3n m\u00e9dica debe considerarse \u00fanica para cada paciente y todos los tratamientos deben individualizarse en consecuencia.                     Por la presente, se le otorga una licencia revocable, intransferible y no sublicenciable para acceder a la Aplicaci\u00f3n y utilizarla con el prop\u00f3sito limitado de realizar c\u00e1lculos para ayudar a determinar la lente intraocular t\u00f3rica Hanita recomendada y obtener una ubicaci\u00f3n de eje sugerida. No puede reproducir ni modificar la Aplicaci\u00f3n sin el consentimiento de Hanita por escrito. Acepta hacer todo lo posible para evitar el uso, la distribuci\u00f3n o la publicaci\u00f3n no autorizados de la Aplicaci\u00f3n.
                    Por la presente, se hace constar que usted no adquiere ning\u00fan derecho de propiedad, t\u00edtulo o inter\u00e9s con respecto a la Aplicaci\u00f3n o el contenido que genera, ni a ninguna patente, marca registrada, derecho de autor, secreto comercial y otros derechos de propiedad intelectual aplicables que puedan estar incorporados o contenidos en la misma.<\/p>

                    Derechos de propiedad y licencias<\/b><\/p>

                    Hanita conserva todos los derechos, t\u00edtulos e intereses de y sobre la Aplicaci\u00f3n y cualquier derivado de la misma, incluidos los Derechos de Propiedad Intelectual contenidos y\/o disponibles en esta o en conexi\u00f3n con esta (colectivamente, la \u201cPropiedad intelectual<\/b>\u201d). Tal como se utiliza en este documento, los \u201cDerechos de propiedad intelectual<\/b>\u201d son las invenciones y patentes de cualquier tipo, derechos de dise\u00f1o, modelos de utilidad u otros derechos de invenci\u00f3n similares, derechos de autor, marcas comerciales, marcas de aplicaci\u00f3n, nombres comerciales, imagen comercial, logotipos, secretos comerciales o derechos de confidencialidad y cualquier otro derecho de propiedad intangible, incluidas las solicitudes para cualquiera de los anteriores, en cualquier pa\u00eds, que surja de conformidad con el derecho estatutario o consuetudinario o por contrato y ya sea que se haya perfeccionado o no, ya exista ahora o se presente, emita o adquiera en el futuro.<\/p>

                    Exenci\u00f3n de responsabilidad<\/b><\/p>

                    LA APLICACI\u00d3N SE PROPORCIONA \u201cTAL COMO EST\u00c1\u201d Y \u201cSEG\u00daN DISPONIBILIDAD\u201d. HANITA NO GARANTIZA QUE LA APLICACI\u00d3N O CUALQUIER CONTENIDO QUE SE PROPORCIONE A TRAV\u00c9S DE LA APLICACI\u00d3N ESTAR\u00c1N LIBRES DE ERRORES O SER\u00c1N ININTERRUMPIDOS, O QUE CUALQUIER DEFECTO SER\u00c1 CORREGIDO, O QUE SU USO DE LA APLICACI\u00d3N Y\/O EL CONTENIDO PROPORCIONAR\u00c1 RESULTADOS ESPEC\u00cdFICOS O SER\u00c1 SEGURO. TODA LA INFORMACI\u00d3N QUE SE PROPORCIONE EN LA APLICACI\u00d3N Y EL CONTENIDO EST\u00c1N SUJETOS A CAMBIOS SIN PREVIO AVISO. EN LA M\u00c1XIMA MEDIDA PERMITIDA POR LA LEY APLICABLE, HANITA RENUNCIA A TODAS LAS GARANT\u00cdAS DE CUALQUIER TIPO, YA SEAN EXPRESAS O IMPL\u00cdCITAS, INCLUYENDO, ENTRE OTRAS, CUALQUIER GARANT\u00cdA IMPL\u00cdCITA DE PRECISI\u00d3N, NO INFRACCI\u00d3N, COMERCIABILIDAD, IDONEIDAD PARA UN PROP\u00d3SITO PARTICULAR, INTEGRIDAD, DISPONIBILIDAD, SEGURIDAD O COMPATIBILIDAD. HANITA RENUNCIA A CUALQUIER RESPONSABILIDAD POR LOS ACTOS, OMISIONES Y CONDUCTA DE TERCEROS EN CONEXI\u00d3N CON O RELACIONADOS CON EL USO QUE USTED REALICE DE LA APLICACI\u00d3N Y\/O EL CONTENIDO GENERADO POR LA APLICACI\u00d3N. USTED ASUME LA RESPONSABILIDAD TOTAL POR SU USO DE LA APLICACI\u00d3N. SU \u00daNICO RECURSO CONTRA HANITA POR CUALQUIER MOTIVO CON RESPECTO A LA APLICACI\u00d3N Y\/O EL CONTENIDO DE ESTA ES DEJAR DE USAR LA APLICACI\u00d3N O CUALQUIER CONTENIDO DE ESE TIPO.<\/p>

                    La exenci\u00f3n de responsabilidad anterior se aplica a todos y cada uno de los da\u00f1os, responsabilidades o lesiones causadas por cualquier falla de rendimiento, error, omisi\u00f3n, interrupci\u00f3n, eliminaci\u00f3n, defecto, demora en la operaci\u00f3n o transmisi\u00f3n, virus inform\u00e1tico, falla en la l\u00ednea de comunicaci\u00f3n, robo o destrucci\u00f3n o acceso no autorizado, alteraci\u00f3n o uso, ya sea por incumplimiento de contrato, agravio, negligencia o cualquier otra causa de acci\u00f3n.<\/p>

                    Limitaci\u00f3n de responsabilidad<\/b><\/p>

                    EXCEPTO CUANDO EST\u00c9 PROHIBIDO POR LEY, HANITA NO SER\u00c1 RESPONSABLE POR NING\u00daN DA\u00d1O CONSECUENTE, INCIDENTAL, INDIRECTO, PUNITIVO, ESPECIAL U OTROS DA\u00d1OS SIMILARES Y CUALQUIER P\u00c9RDIDA DE BENEFICIOS, P\u00c9RDIDA DE INGRESOS, P\u00c9RDIDA DE AHORROS, P\u00c9RDIDA DE FONDOS DE COMERCIO, P\u00c9RDIDA DE USO O P\u00c9RDIDA O CORRUPCI\u00d3N DE DATOS, YA SEA POR AGRAVIO, CONTRATO U OTRAS TEOR\u00cdAS DE RECUPERACI\u00d3N, INCLUSO SI \u00c9RAMOS O DEBI\u00c9RAMOS HABER SIDO CONSCIENTES O ADVERTIDOS DE LA POSIBILIDAD DE ESOS DA\u00d1OS, Y EN NING\u00daN CASO LA RESPONSABILIDAD DE HANITA SURGIR\u00c1 DEL USO O LA INCAPACIDAD DE USAR LA APLICACI\u00d3N, O CUALQUIER OTRO ASUNTO RELACIONADO CON LA APLICACI\u00d3N. SI, A PESAR DE LAS DEM\u00c1S DISPOSICIONES DE ESTOS T\u00c9RMINOS, SE CONSIDERA QUE HANITA ES RESPONSABLE ANTE USTED POR CUALQUIER DA\u00d1O O P\u00c9RDIDA QUE SURJA DE SU USO DE LA APLICACI\u00d3N O SE RELACIONE DE ALGUNA MANERA CON SU USO DE LA APLICACI\u00d3N, LA RESPONSABILIDAD DE HANITA EN NING\u00daN CASO EXCEDER\u00c1 LOS $500,00 D\u00d3LARES ESTADOUNIDENSES. LAS LIMITACIONES, EXCLUSIONES Y EXENCIONES DE RESPONSABILIDAD EN ESTA SECCI\u00d3N Y EN OTRAS PARTES DE ESTOS T\u00c9RMINOS DE USO SE APLICAN EN LA MEDIDA M\u00c1XIMA PERMITIDA POR LA LEY APLICABLE.<\/p>

                    Indemnizaci\u00f3n<\/b>
                    Usted acepta defender, indemnizar y eximir de responsabilidad a Hanita, y a sus respectivos funcionarios, directores, empleados y agentes, licenciantes, licenciatarios, distribuidores, agentes, representantes y otros usuarios autorizados, y a cada uno de los respectivos afiliados, distribuidores y proveedores de Hanita (colectivamente, las \u201cPartes indemnizadas<\/b>\u201d) de y contra todos y cada uno de los reclamos, da\u00f1os, obligaciones, p\u00e9rdidas, responsabilidades, costos y gastos (incluidos, entre otros, los honorarios de abogados) incurridos por las Partes indemnizadas en relaci\u00f3n con o que surjan de: (i) su uso de la Aplicaci\u00f3n y\/o el contenido de la misma; (ii) su violaci\u00f3n de estos T\u00e9rminos de uso y\/o cualquier t\u00e9rmino adicional; o (iii) su violaci\u00f3n de cualquier derecho de terceros, incluidos, entre otros, cualquier derecho de autor, propiedad, publicidad o privacidad. Usted deber\u00e1 hacer todo lo posible para cooperar con nosotros en la defensa de cualquier reclamaci\u00f3n. Nos reservamos el derecho, a nuestro propio costo, de contratar a un abogado independiente y asumir la defensa y el control exclusivos de cualquier asunto que de otra manera estar\u00eda sujeto a indemnizaci\u00f3n por parte suya.<\/p>

                    Podemos limitar, suspender o cancelar su cuenta y\/o su capacidad para acceder a la Aplicaci\u00f3n o cualquier contenido que se proporcione en o a trav\u00e9s de la Aplicaci\u00f3n, a nuestro exclusivo criterio, de manera inmediata y\/o limitar, suspender o cancelar cualquier acceso futuro, con o sin causa por su incumplimiento total de estos T\u00e9rminos de uso y\/o cualquier t\u00e9rmino adicional aplicable. Usted acepta que no seremos responsables ante usted ni ante ning\u00fan tercero por cualquier limitaci\u00f3n, suspensi\u00f3n o terminaci\u00f3n de su acceso o uso de la Aplicaci\u00f3n o de su contenido.                     Usted acepta que cualquier acci\u00f3n legal o de equidad que surja de o est\u00e9 relacionada con estos T\u00e9rminos de uso, y la relaci\u00f3n entre usted y nosotros, se regir\u00e1 e interpretar\u00e1 de conformidad con las leyes sustantivas del Estado de Israel sin tener en cuenta sus principios de conflicto de leyes.
